Charter
The core document governing the Association — its purpose, membership, governing bodies, finances and dissolution.
Charter of the “Azerbaijan Consultants Association” public union. Baku, 2023. Approved by the founding assembly’s decision of 1 October 2023.
I. General provisions
The Association is a non-governmental organisation founded on the principles of common interest, voluntary membership and equal rights of members; it does not pursue profit as its main aim and does not distribute income among its members. It operates throughout the Republic of Azerbaijan and acquires the status of a legal entity upon state registration at the Ministry of Justice.
II. Purpose and objectives
The Association’s core purpose is to represent and protect the shared interests of companies offering consulting services before state and non-state bodies, and to support the social, economic and cultural development of member organisations. It delivers local and international projects, organises meetings, events, forums and exhibitions, holds international conferences and supports academic publications.
III. Rights
The Association may enter into contracts in its own name, acquire property and personal non-property rights, act as claimant or defendant in court, freely disseminate information about its work, establish branches and representative offices in the country and abroad, open bank accounts and exercise other rights established by law.
IV. Property and financial activity
Its assets are formed from membership fees, voluntary donations, income from securities, grants, income from events and other sources not prohibited by law. The Association may not provide material aid to political parties, and earmarked funds may not be spent on other purposes.
V. Founders and members
Founders may be legal entities (except state and local self-government bodies) or individuals aged 18 or over. Admission is decided by the Board: a written application is reviewed within one month, and the applicant becomes a member when more than half of the Board agree. Membership fees are set by the Board. Members are obliged to comply with the Charter, carry out the decisions of the elected bodies and take part in events.
VI. Structure and governing bodies
The supreme body is the General Assembly, convened at least once a year; it adopts and amends the Charter, sets the principles for forming assets, creates the executive bodies, approves the annual report and decides on reorganisation and liquidation. Day-to-day management is exercised by the collegial Board, whose Chair, deputies and members are elected by the General Assembly for a two-year term. An Audit Commission oversees compliance and financial activity for a two-year term.
VII. Termination
The Association’s activity is terminated through reorganisation or liquidation. On liquidation, after settlements with the budget and creditors, the remaining assets are directed to the Charter’s purposes or, where that is not possible, to the state budget.
VIII. Other terms
Matters not covered by the Charter are governed by law. The financial year runs from the date of registration to 31 December, and subsequent years cover 1 January to 31 December.
